Position Description :

Serco-Canada is looking for in-house Legal Counsel to be based out of Ottawa Canada and report to our Associate General Counsel. The position of Legal Counsel will provide legal and business support for the day-to-day initiatives and long-term strategies of the company in Canada, with a focus on government contracts, commercial leasing, asset/facility management, and/or real estate.

This includes collaborating to ensure all business activities are conducted in compliance with applicable laws and regulations.

In this role you will:

  • Support bidding activity and the administration of government contracts at the Federal, provincial, and municipal levels of government in Canada.
  • Negotiate and prepare a variety of complex agreements including government contracts and commercial lease documents, including: leases, licenses, letters of intent, amendments, extensions, notices, consents, estoppels, assignment agreements, and other related documents as required.
  • Provide comprehensive legal support to cross-functional project teams, ensuring thorough guidance and oversight on property-related matters, development projects, and other organizational initiatives.
  • Provide policy support to internal clients through review and interpretation of legislation and policies as well as providing advice and drafting language for amendments and new policies.
  • Answer questions from internal clients on various matters related to government contracting, commercial leasing, asset/facility management, and/or real estate.
  • Proactively identify and manage risk across the business, to include training internal clients on applicable material laws and regulations affecting the business
  • Serve as a leader and integral and productive member of a small and collaborative legal team.

Qualifications :

To be successful in this role you will have:

  • Minimum of six (6) years of experience practicing law in one or more of the following areas: government contracts, commercial leasing, asset/facility management, or real estate.
  • University degree in law (LLB or J.D.) and membership in good standing with the Law Society of Ontario.
  • Experience negotiating and preparing leases, licenses, and other real property agreements.
  • Experience with:
  • Policies related to accessibility, environment, heritage, health and safety, the Official Languages Act, and signage.
  • Applicable land use controls for commercial agreements.
  • Federal, provincial, and municipal government regulations.
  • Occupational Health and Safety (OHS) Authority.
  • Knowledge of the litigation process, litigation management, and dispute resolution experience is preferred.
  • Excellent communication and negotiation skills, with the ability to effectively advise clients and collaborate with project stakeholders.
  • Ability to communicate complex legal issues in a clear manner to non-legal audiences.
  • Ability to work in a fast-paced environment with changing priorities.
  • Ability to understand business issues quickly, exercise good judgment in providing timely and practical legal advice.
  • Experience in counseling clients and drafting agreements for large infrastructure projects involving provincial governments.
  • Experience in counseling clients and drafting agreements with commercial entities for professional services work and outsourcing of staff and services.
  • Experience supporting government contractors generally, with demonstrated experience in supporting professional services contracting, including review, drafting and negotiation of government contracts, such as prime contracts, subcontracts, purchase order terms and conditions, memoranda of understanding, teaming agreements, and non-disclosure agreements.
  • Experience reviewing RFPs, assessing risk, and planning negotiation strategies for such projects.
  • Experience with export and import control compliance.
  • Self-starter and independent worker.
